Terms of Service

Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing and using the services provided by NodeAscend Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our services, including website development, mobile app development, software development, digital marketing, UI/UX design, IT consulting, and related services.

2. Services Description

NodeAscend Technologies provides digital solutions including but not limited to:

  • Website Development & Design
  • Mobile Application Development
  • Custom Software Development
  • Digital Marketing Services
  • UI/UX Design Services
  • IT Consulting & Technical Support

The specific scope, deliverables, and timelines for any project will be outlined in a separate service agreement or proposal.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Respond to communications and requests for feedback in a timely manner
  • Ensure you have the rights to any content, images, or materials you provide
  • Make payments according to the agreed-upon schedule
  • Review and approve deliverables within the specified timeframes

4. Intellectual Property Rights

Client Materials: You retain all rights to materials you provide to us. By providing materials, you grant us a license to use them solely for delivering the agreed services.

Deliverables: Upon full payment, you will own the custom work created specifically for your project. However, we retain rights to:

  • Pre-existing tools, code libraries, and frameworks we use
  • General knowledge, skills, and techniques developed during the project
  • The right to showcase the work in our portfolio (unless otherwise agreed)

Third-Party Resources: Some projects may include third-party resources (fonts, images, plugins) which are subject to their respective licenses.

5. Payment Terms

Payment terms will be specified in individual project proposals or service agreements. Generally:

  • A deposit is required before project commencement
  • Milestone payments may be required for larger projects
  • Final payment is due upon project completion
  • Late payments may incur additional charges and project delays

All prices are in Indian Rupees (INR) unless otherwise specified. Applicable taxes will be added as per government regulations.

6. Project Timelines

We strive to deliver projects within agreed timelines. However, delays may occur due to:

  • Delayed client feedback or approvals
  • Scope changes or additional requirements
  • Technical complexities discovered during development
  • Force majeure events

We will communicate any anticipated delays promptly and work to minimize their impact.

7. Revisions and Changes

The number of revisions included will be specified in your project proposal. Additional revisions beyond the agreed scope may incur extra charges. Significant scope changes may require a new proposal and timeline adjustment.

8. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties except as required by law or with your consent. This includes business plans, technical specifications, and any sensitive data shared during the project.

9. Warranty and Support

We provide a warranty period (typically 30-90 days, as specified in your agreement) during which we will fix any bugs or issues related to our work at no additional cost. Support and maintenance beyond the warranty period can be arranged through a separate agreement.

10. Limitation of Liability

To the maximum extent permitted by law, NodeAscend Technologies shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the total amount paid for services

Our liability is limited to re-performing defective services or refunding the portion of fees attributable to such services.

11. Termination

Either party may terminate the service agreement with written notice. Upon termination:

  • Client pays for all work completed up to termination date
  • We will deliver all completed work and materials
  • Outstanding invoices become immediately due

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts in Faridabad, Haryana, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
